By installing or using Node Neo, you accept these terms.

These Terms of Service ("Terms") form a binding agreement between you and ABSGrafx LLC ("we", "us", "Node Neo"), the developer and publisher of the Node Neo application ("the app"). They apply whenever you download, install, or use any version of the app on any platform.

If you do not agree, do not install or use the app. If you have already installed it, you can remove it from your device at any time, which terminates this agreement.

Open source under the MIT License.

The Node Neo source code is published at github.com/absgrafx/nodeneo under the MIT License, which grants you broad rights to use, copy, modify, merge, publish, distribute, sublicense, and sell copies of the source code, subject to including the copyright notice and disclaimer.

The compiled, signed binaries we distribute through the Apple App Store, the macOS DMG on our GitHub Releases page, and any other channel we operate in the future are subject to a narrower license: a personal, non-exclusive, non-transferable, revocable license to install and use the app on devices you own or control, for personal or internal-business purposes. You may not redistribute the signed binaries under a different name or modified form — build from source for that.

The "Node Neo" name, the wing-glasses logo, the wordmark, and all related branding are trademarks of ABSGrafx LLC, and are not granted to you under either license.

You hold the keys. We cannot recover them.

You are solely responsible for:

• Securely backing up your private key (export via Settings → Backup & Reset → Export)
• Keeping that backup safe from theft, damage, and accidental disclosure
• Securing the devices Node Neo is installed on (device passcode, biometric lock, app lock)
• Verifying the destination address before sending MOR or ETH — transactions are irreversible
• Choosing the inference providers and RPC endpoints you trust
• Understanding that all on-chain transactions are public and permanent

We provide tooling to make self-custody easier (encrypted backups, biometric app lock, the legacy mnemonic auto-migration, the FirstLaunchGuard), but the underlying responsibility always rests with you. By using the app, you acknowledge this.

RPC providers and inference providers are independent.

Node Neo connects to two categories of third party to function (see Privacy → Section 4 for the privacy implications):

• Public Base RPC providers — community-run JSON-RPC endpoints that read your wallet balance and broadcast your on-chain transactions. You can change which RPC the app uses in Settings → Network.
• Morpheus inference providers — independent operators on the Morpheus network that run the open-source models you select. The Morpheus protocol matches you with a provider for each session; you stake MOR to open the session and the provider receives a share of the staked MOR for the duration.

We are not responsible for the actions, availability, accuracy, legality, or content of any third-party RPC provider, inference provider, or model output you encounter through the app. The Morpheus protocol is operated by the broader Morpheus community; ABSGrafx LLC has no control over which providers participate, what models they run, or how they handle the data you send them.

By using the app, you acknowledge that you are entering into independent relationships with each third-party provider you connect to, governed by their own terms and policies (where they have any), and that we cannot intervene in disputes between you and them.

Use the app lawfully. Common-sense exclusions.

You may use Node Neo for any purpose that is lawful in your jurisdiction. You agree not to use the app, or any output produced through it, to:

• Violate any applicable law or regulation, including export controls and sanctions regimes
• Infringe the intellectual-property rights of others
• Generate or distribute material that sexually exploits minors
• Generate content intended to harass, defame, or threaten specific individuals
• Engage in fraud, money laundering, or terrorist financing
• Attempt to reverse-engineer, disable, or interfere with the security mechanisms of the app or any third-party service it connects to
• Misrepresent yourself as us or as another party in connection with the app

Some Morpheus models may have additional usage restrictions defined by their providers or original creators; you are responsible for complying with those when you use the corresponding model.

Node Neo is a software tool that gives you access to a decentralized AI inference network. It is not a financial-services provider, a broker-dealer, a money transmitter, an investment adviser, a legal-services firm, or a medical professional.

Information provided by the app's UI (model lists, balance displays, session pricing, stake calculations), by this website, or generated by AI models you query is provided for informational purposes only and does not constitute investment advice, legal advice, tax advice, or medical advice. AI-generated output can be wrong, biased, fabricated, or misleading. Verify before acting on it.

If you need professional advice, consult a qualified professional. Do not rely on Node Neo or its model outputs as a substitute.

The app is provided "AS IS".

To the maximum extent permitted by applicable law:

THE APP, THIS WEBSITE, AND ALL ASSOCIATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. ABSGRAFX LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND CONTRIBUTORS SPECIFICALLY DISCLAIM ANY AND ALL WARRANTIES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, RELIABILITY, AND THAT THE APP WILL OPERATE UNINTERRUPTED OR ERROR-FREE.

We make no warranty regarding the availability, accuracy, or reliability of any third-party service the app connects to (including blockchain RPC providers, the Morpheus protocol, individual inference providers, or any model output), the value or future utility of MOR or any other token, or the persistence of on-chain economic conditions.

Our liability is limited to the maximum extent the law allows.

To the maximum extent permitted by applicable law:

IN NO EVENT WILL ABSGRAFX LLC OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS WILL NOT EXCEED USD $100, OR THE AMOUNT YOU PAID US FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (WHICHEVER IS GREATER). THE APP IS DISTRIBUTED FREE OF CHARGE; THE LATTER IS EXPECTED TO BE ZERO.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, our liability is limited to the smallest amount permitted by law.

You stand behind your own use.

You agree to indemnify, defend, and hold harmless ABSGrafx LLC and its affiliates, officers, employees, and contributors from and against any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the app, (b) your violation of these Terms, (c) your violation of any law or third-party right (including any third-party service the app connects to), or (d) any content or output you generate, transmit, or distribute using the app.

Either party can end this agreement at any time.

You may terminate this agreement at any time by uninstalling the app from all your devices and ceasing further use. There is nothing for you to cancel on our side because there is no account.

We may terminate or suspend distribution of any version of the app (for example by withdrawing a release from the App Store or replacing it with a newer version) at any time, for any reason, without notice. We have no ability to remotely disable the app on your device once installed; if we discontinue future distribution, the binary you already have continues to function until you uninstall it.

Sections 3, 4, 6, 7, 8, 9, 12, and 13 survive termination of this agreement.

We update these terms; you read the new version.

We may update these Terms from time to time to reflect changes in the app, the Morpheus ecosystem, applicable laws, or our business practices. The "Last updated" date at the top of this page reflects the most recent revision.

Material changes will additionally be called out in the in-app release notes for the version that introduces them. Your continued use of the app after a change constitutes acceptance of the revised Terms; if you do not accept them, uninstall the app.

South Dakota law, individual disputes only.

These Terms are governed by the laws of the State of South Dakota, USA, without regard to its conflict-of-laws provisions. Any dispute arising out of or relating to these Terms or your use of the app will be resolved exclusively in the state or federal courts located in South Dakota, and you consent to the personal jurisdiction of those courts.

You agree that any dispute will be brought on an individual basis only, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
