Proprietary to ABSGrafx LLC.

The Software is proprietary to ABSGrafx LLC. Except for third-party open-source components identified in THIRD_PARTY_NOTICES.md (or an equivalent notices file bundled with the Software), ABSGrafx LLC retains all right, title, and interest in and to the Software, including all intellectual property rights.

No rights are granted to the source code of the Node Neo client. The repository may be private. Publication of any source, if any, does not by itself grant a license beyond what is expressly stated in a written license from ABSGrafx LLC.

Install and use on devices you own or control.

Subject to your compliance with the Node Neo Terms of Service and, for App Store / Mac App Store builds, Apple’s Licensed Application End User License Agreement (Standard EULA unless a custom EULA is attached), ABSGrafx LLC grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices you own or control, solely for your personal or internal business purposes.

You may not (and may not permit others to):

• copy, distribute, sell, lease, rent, sublicense, or publicly perform or display the Software except as expressly allowed by Apple’s platform rules for the licensed copy you obtained;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent such restriction is prohibited by applicable law;
• modify, adapt, translate, or create derivative works of the Software;
• remove, obscure, or alter any proprietary notices;
• use the Software to provide a hosted or multi-tenant service that redistributes the Software itself;
• use ABSGrafx or Node Neo trademarks except as allowed in Section 5.

No right to receive or redistribute client source.

This LICENSE does not grant you any right to receive, access, use, modify, fork, or redistribute Node Neo client source code. “Open source,” “MIT,” or similar terms do not apply to the Node Neo client as a whole.

OSS components keep their own licenses.

The Software embeds or links certain third-party open-source components, including components derived from the Morpheus / Lumerin proxy-router and related network engine materials. Those components remain subject to their own licenses.

See THIRD_PARTY_NOTICES.md for copyright notices and license texts (this page and/or bundled with the Software). Nothing in this LICENSE limits your rights under those third-party licenses with respect to the corresponding third-party components alone.

Node Neo and ABSGrafx marks.

“Node Neo”, the Node Neo wordmark, logos, and related branding, and “ABSGrafx” are trademarks or trade names of ABSGrafx LLC. No trademark license is granted except the limited right to refer accurately to the Software as “Node Neo” in factual statements. You may not use the marks in a way that implies sponsorship, endorsement, or affiliation without prior written permission.

Apple’s EULA also applies to store copies.

If you obtained the Software from Apple, your use is also subject to Apple’s Licensed Application End User License Agreement. In the event of a conflict regarding Apple’s platform requirements for the licensed application, Apple’s EULA controls to that extent; otherwise these terms and the Node Neo Terms of Service govern your relationship with ABSGrafx LLC.

Apple is the merchant of record for in-app purchases. Manage or cancel subscriptions in Apple ID → Subscriptions. Refunds are handled per Apple’s policies.

AS IS — liability limited per the Terms.

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

Liability is limited as set forth in the Node Neo Terms of Service, including the cap tied to amounts paid to Apple for NodeNeo Pro subscriptions in the twelve (12) months preceding a claim (and $0 for users with no such payments). See also the Privacy Policy.
